TERMS AND CONDITIONS

The following Terms and Conditions ("Terms", "Terms of Service") apply to the Smart QR-Merchant application (the "Service"), which is operated by SmartChoice Technologies Ltd.

By accessing the document, you acknowledge that you have read, understood, and agree to be governed by all of the Terms and Conditions. If you do not agree to all of these Terms and Conditions, you are forbidden from accessing the app and must immediately stop using it.

Supplementary terms and conditions or documents that may be published on the Site from time to time are expressly incorporated by reference herein. We reserve the right to update or modify these Terms and Conditions at any time and for any cause at our sole discretion.

Any modifications will be communicated to you by amending the “Last updated” date of these Terms and Conditions, and you hereby reserve any right to obtain specific notice of any change.

It is your responsibility to review these Terms and Conditions on a regular basis to ensure that you are aware of changes. By continuing to use the Site after the date such revised Terms and Conditions are posted, you will be subject to, and will be deemed to have been made aware of, and to have accepted, the changes in such revised Terms and Conditions.

INTRODUCTION

SmartChoice Technologies Ltd. established on 2001, popularly known as SCT and SCT-Network is a Payment Service Operator (PSO) licensed under the Nepal Central Bank. SCT is operating QR code payment platform in the brand of SMART QR which provides QR Code Payment Switching platform, Centralize Merchant Management System, which will provide inter-operability among the Banks and financial Institutions (BFIs) and Payment Service Providers (PSPs) with rapid expansion of QR Merchant network to enhance digitization of small value payments in Nepal.

Smart QR is a QR Code Payment Platform for different Bank and Financial Institutions (BFIs) and Payment Service Providers (PSPs) in Nepal. Smart QR Network is setup as digital payment processor that seamlessly connects consumers, banks, wallet users and merchants in an interoperable network to facilitate mobile digital payments.

In connection therewith, Smart QR has agreed to provide the QR Services (defined hereafter) to you (the merchant/user), subject to and on the terms and conditions set forth below, and you hereby agree to use the Smart QR Merchant Services.

DEFINITION AND EXPLANATION

“Member” means the BFIs/PSPs with the customer’s account through which the customer initiates payment. They must be the part of Smart QR network.

“Merchant” means the store or vendor who sells goods or services and accepts Smart QR payments.

“Customer” means the wallet user of PSPs and bank app users who can scan Smart QR and make payments.

“Transaction” means an electronic financial transaction carried out using the Smart QR Services.

ELIGIBILITY

To avail the Smart QR services, you should be business entity holding an active Nepalese mobile number and a bank account.

MERCHANT REQUIREMENTS

Any business operating in Nepal can register as Smart QR Merchant with following information:Business Name

  1. Business Name
  2. First Name, Last Name
  3. Address
  4. Phone Number
  5. Mobile Number
  6. Email
  7. Business Category
  8. Store type
  9. Valid PAN/ VAT (in case of corporate merchant)
  10. City
  11. Store name
  12. Business Description

PROMOTIONAL COLLABORATIONS

  1. Merchants will always display Smart QR logos and other trademarks that have been mutually agreed upon on the website and mobile applications.
  2. Smart QR will promote merchants and keep their logos on their website and social media.
  3. The merchant will be promoted by Smart QR across all of its platforms.
  4. The Merchant must comply with all promotional/advertising schemes provided by Smart QR.
  5. In terms of promotion, Smart QR will create designs for promotional purposes.

TRANSACTION, REFUND AND VOID

  1. All transactions will be shown in real time in the Smart QR Merchant Dashboard.
  2. Smart QR is not liable for any transactions that are not recognized by the Smart QR network.
  3. Void Transaction can be done if the merchant needs to cancel the previously successful transaction. Void Transaction can be done only within 24 hours from the date and time of successful transaction.
  4. Refund Transaction is done if the merchant needs to return the partial or full sales amount of the transaction to the customers based on the various criteria including date, time and transaction id.
  5. Once a merchant initiates the Void transaction or Refund transaction, the transaction cannot be reversed. Smart QR is not liable for any losses caused to merchant due to incorrect Void/Refund.

SMART QR LIABILITIES

  1. Smart QR will provide the merchant with all kind of technical assistance in lining with the member supervision.
  2. Smart QR is responsible to provide login credentials for Merchant Dashboard, as well as tutorials for the functioning of Smart QR.
  3. In the event of suspicion of fraud or abusive transactions, Smart QR maintains the right to suspend the Merchant Account by consulting the respective members.
  4. In the event of a system issue, Smart QR will work with the Merchant to resolve the problem with the consultation of respective members.

TERMINATION

  1. Smart QR maintains the right to change the its Terms and Conditions at any time without giving members/merchants prior notice, and such changes will be binding on members/merchants.

MISCELLANEOUS

  1. If a merchant wants to change their acquirer partner, they must provide a written letter to Smart QR with a legitimate reason.
  2. The daily and monthly usage limits of Smart QR Merchant will be determined in compliance with Nepal Rastra Bank directives and Smart QR policy.
  3. Smart QR is not liable for any loss or damage caused or experienced by Customer as a result of Customer's failure to follow the instructions provided on Smart QR.
  4. Smart QR is not obliged for any financial losses incurred by merchants as a result of inaccurate bank deposit information.
  5. Smart QR may terminate the Smart QR merchant wallet if any merchant violates Smart QR Terms and Conditions.
